Terms and conditions

Last updated October 2026

These terms apply when you engage Cosmosis Studio Pty Ltd (ABN [number]) for positioning, homepage, landing page, optimization or related services. Accepting a proposal, paying an invoice or asking us to start work means you agree to them.

Definitions

  • “Cosmosis,” “we,” “our” and “us” means Cosmosis Studio Pty Ltd, including its contractors.

  • “Client” and “you” means the person or organization engaging us.

  • “Services” means the work described in your proposal or statement of work.

  • “Deliverables” means the final copy, designs, pages and documents we hand over as part of the Services.

  • “Agreement” means these terms together with your proposal or statement of work. If the two conflict, the proposal wins.

Scope

Each proposal sets out the Services, Deliverables, timeline and fees. Changes to scope are agreed in writing and may change the fees or timeline. Each project includes the revision rounds stated in the proposal, and further rounds are billed separately.

Fees and payment

Fees are quoted in US dollars unless the proposal says otherwise, and they exclude taxes. Project work is invoiced as set out in the proposal, usually with a deposit before work begins. Monthly services are invoiced in advance and start with an initial two-month term. Invoices are due within 14 days. If a payment is late, we may pause work until it’s settled.

Your responsibilities

To keep a project on schedule, you agree to provide timely feedback, approvals and access to the accounts, tools and information we need. Delays on your side may shift the timeline. You’re responsible for the accuracy and legality of the claims made about your product. That includes any regulated statements, which your own advisers should review before they go live.

Third-party platforms

Sites are typically built on platforms such as Framer, and they rely on third-party hosting, fonts, plugins and analytics. You hold and pay for those accounts and licenses directly. We aren’t responsible for their outages, pricing changes or policy changes.

Results

We use proven practice and testing to improve how your site performs. Because results depend on your product, market, traffic and many other factors outside our control, we can’t guarantee specific outcomes for conversion rates, search rankings or visibility in AI search.

Intellectual property

Once you’ve paid in full, you own the final Deliverables created for you. Our methods, frameworks, templates, reusable components and working files remain ours, and you receive a license to use any of these that are built into your Deliverables. Materials you supply remain yours, and you confirm you have the rights to let us use them.

Showing our work

Unless you ask us not to, we may show the finished work, or describe it in general terms, in our portfolio and marketing. We will never disclose your confidential information in doing so.

Use of AI

We use AI tools as described in our AI use policy. In short, AI assists our work, a person reviews everything we deliver, and any AI-generated content intended for your customers is clearly labeled.

Confidentiality

Both parties will keep each other’s confidential information private and use it only for the engagement. This doesn’t apply to information that is public, already known, independently developed or required by law to be disclosed.

Privacy

We handle personal information in line with the Australian Privacy Act and our Privacy Policy, and we collect only what we need to deliver the Services.

Liability

Our total liability for any claim is limited to the fees you paid for the engagement giving rise to it. We aren’t liable for indirect or consequential loss, including lost revenue or profit. Nothing in these terms excludes rights you may have under the Australian Consumer Law that can’t lawfully be excluded.

Ending an engagement

Either party may end a project with written notice, and work completed up to that date is invoiced. Once the initial two-month term ends, monthly services continue until either party gives 30 days’ written notice.

Governing law

These terms are governed by the laws of Queensland, Australia, and the courts of that state have jurisdiction over any dispute.

Entire agreement

These terms and your proposal form the whole agreement between us and replace any earlier discussions. We may update these terms from time to time, and the version in force when you accept a proposal applies to that engagement.
